      1. ACCEPTANCE OF TERMS

      1.2 By placing an order, making any advance/payment, approving a
      quotation/design/specification, or accepting delivery of a Product, the
      Customer acknowledges that the Customer has read, understood and
      accepted these Terms.

      1.3 These Terms shall be read together with the applicable quotation,
      invoice, order confirmation, approved drawing, specification, warranty
      document and other written order documents.

      2. ORDER CONFIRMATION

      2.1 An order shall become a confirmed order only after:

      • acceptance of the quotation/order;

      • receipt of the required advance/payment; and

      • acceptance of the order by Kraft Shilp.

      2.2 A website listing, catalogue, photograph, showroom display, verbal
      discussion, preliminary quotation or estimate does not by itself
      constitute a confirmed order.

      2.3 Kraft Shilp may require final confirmation of size, material,
      colour, finish, fabric, hardware, design and other specifications before
      commencing production.

      2.4 Once the Customer has approved the final specifications and
      production/procurement has commenced, the order shall be treated as a
      committed order.

      3. PRICES & TAXES

      3.1 The applicable price shall be the price stated in the accepted
      quotation/order confirmation.

      3.2 GST and other applicable statutory taxes shall be charged as
      applicable.

      3.3 Transportation, installation, special handling, staircase/lift
      charges, crane/hoisting, dismantling, shifting or other additional
      services may be charged separately unless expressly included in the
      quotation.

      3.4 Any additional work or change requested by the Customer after order
      confirmation may result in additional charges.

      4. PAYMENT TERMS

      4.1 Up to 50% advance payment may be required for confirmation of the
      order
      , unless otherwise agreed in writing.

      4.2 The balance payment shall be payable according to the payment
      schedule stated in the quotation/order confirmation.

      4.3 Where balance payment is required before dispatch/delivery, Kraft
      Shilp may hold dispatch/delivery until the applicable outstanding amount
      is received.

      4.4 Delay in payment may result in corresponding extension of the
      delivery timeline.

      4.5 Kraft Shilp shall not be responsible for delays resulting from
      delayed payments, approvals, measurements, specifications or other
      Customer-related matters.

      4.6 Any undisputed outstanding amount shall remain payable
      notwithstanding a service complaint concerning a separate or disputed
      issue.

      5. MADE-TO-ORDER / CUSTOMISED FURNITURE

      5.1 Furniture manufactured, customised, modified, specially procured or
      specially finished according to Customer requirements shall be
      considered Made-to-Order / Customised Products.

      5.2 Made-to-Order/Customised Products are manufactured/procured
      specifically for the Customer and therefore cannot ordinarily be
      cancelled, returned or exchanged merely due to change of mind, change of
      preference, personal unsuitability or no longer requiring the Product
      ,
      subject to applicable law.

      5.3 Once procurement, production, cutting, processing, customisation or
      manufacturing has commenced, cancellation may not be accepted.

      5.4 If Kraft Shilp agrees to a cancellation as a commercial exception,
      the Company may deduct reasonable costs already incurred or committed,
      including material procurement, labour, manufacturing, design,
      processing, transportation, supplier commitments, restocking and other
      actual costs, subject to applicable law.

      6. CANCELLATION POLICY

      6.1 A cancellation request must be made in writing.

      6.2 Cancellation shall become effective only when confirmed in writing
      by Kraft Shilp.

      6.3 Once production/procurement/customisation has commenced, Kraft Shilp
      may reject the cancellation request.

      6.4 The Customer shall not ordinarily be entitled to cancellation merely
      because of:

      • change of mind;

      • change of interior design;

      • change of colour preference;

      • incorrect assessment of room size;

      • incorrect access measurement;

      • relocation;

      • change of personal circumstances; or

      • no longer requiring the Product.

      6.5 Any refund legally payable or approved by Kraft Shilp shall be
      processed after lawful adjustment of applicable costs, dues and charges.

      7. DELIVERY TIMELINE

      7.1 The standard estimated delivery timeline for Kraft Shilp furniture
      is:

      WITHIN 30 TO 45 DAYS

      from completion of the applicable order requirements, including receipt
      of required advance payment and finalisation of specifications.

      7.2 The above timeline is an estimated delivery period and not an
      unconditional guarantee of a fixed delivery date
      , except where a
      specific written commitment is expressly made by Kraft Shilp.

      7.3 Delivery may be delayed due to:

      • raw-material availability;

      • production requirements;

      • supplier delays;

      • transportation delays;

      • labour issues;

      • weather conditions;

      • governmental restrictions;

      • force majeure;

      • Customer-requested changes;

      • delayed payment;

      • delayed approval;

      • site/access issues; or

      • other circumstances reasonably beyond Kraft Shilp's control.

      7.4 Any Customer-caused delay shall automatically extend the applicable
      delivery schedule by a reasonable period.

      7.5 Kraft Shilp shall make reasonable efforts to keep the Customer
      informed of material delivery delays.

      8. DELIVERY ACCESS & SITE CONDITIONS

      8.1 The Customer is responsible for ensuring that the delivery premises
      are ready and reasonably accessible.

      8.2 Before placing the order, the Customer should verify:

      • main entrance width;

      • doorway dimensions;

      • staircase dimensions;

      • lift dimensions and capacity;

      • corridors;

      • turning space;

      • building restrictions; and

      • society/association permissions.

      8.3 Kraft Shilp shall not be responsible for failure to deliver a
      Product where the Product cannot reasonably pass through the available
      access route due to inadequate access or Customer/site conditions.

      8.4 Additional costs arising from special delivery requirements,
      crane/hoisting, extra labour, dismantling, shifting or other exceptional
      handling may be charged separately.

      9. DELIVERY INSPECTION

      9.1 The Customer or authorised representative should inspect the Product
      at the time of delivery.

      9.2 Any visible damage, shortage or apparent discrepancy should be
      immediately recorded on the delivery document and reported to Kraft
      Shilp.

      9.3 Photographs/videos may be required for processing a delivery-damage
      claim.

      9.4 Signing a delivery acknowledgment without recording visible damage
      or shortage shall constitute evidence that the Product was received in
      apparently satisfactory external condition, without affecting rights
      available under applicable law in respect of latent/manufacturing
      defects
      .

      10. DAMAGE AFTER DELIVERY

      Kraft Shilp shall not be responsible for damage caused after delivery
      by:

      • misuse;

      • negligence;

      • accident;

      • impact;

      • water/moisture;

      • excessive heat;

      • excessive sunlight;

      • improper cleaning;

      • pest/insect infestation;

      • relocation;

      • shifting;

      • dismantling;

      • reassembly;

      • third-party installation;

      • unauthorised modification;

      • structural changes;

      • improper storage; or

      • any other cause not attributable to a manufacturing defect.

      11. NATURAL WOOD & NATURAL MATERIAL VARIATIONS

      11.1 Products made from solid wood, veneer, stone, marble, leather or
      other natural materials may naturally contain variations in:

      • grain;

      • colour;

      • texture;

      • knots;

      • pores;

      • markings;

      • patterns; and

      • shade.

      11.2 Such natural characteristics are inherent to natural materials and
      shall not automatically be considered defects.

      11.3 No two natural-wood furniture pieces can be expected to be
      absolutely identical.

      11.4 Photographs, digital images, showroom samples and screens may show
      variations from the actual Product because of lighting, photography,
      screen settings and material/batch variations.

      12. COLOUR & FINISH VARIATION

      12.1 Minor variation in colour, shade, polish, texture or finish may
      occur between photographs, samples and the finished Product.

      12.2 Hand-finished and natural-material Products may have individual
      variations.

      12.3 Reasonable variations which do not materially affect the agreed
      Product specification shall not constitute a defect.

      13. DIMENSIONAL TOLERANCE

      13.1 Furniture is manufactured using reasonable manufacturing
      tolerances.

      13.2 Minor dimensional variations within reasonable manufacturing
      tolerance shall not constitute a manufacturing defect.

      13.3 The Customer is responsible for checking the available space and
      access dimensions before placing the order.

      13.4 Kraft Shilp shall not be responsible where the Customer has
      incorrectly assessed available space, doorway, staircase, lift or other
      access conditions.

      14. CUSTOMER-REQUESTED CHANGES

      14.1 After order confirmation, changes to:

      • size;

      • design;

      • material;

      • wood;

      • fabric;

      • colour;

      • finish;

      • polish;

      • hardware;

      • configuration; or

      • other specifications

      shall be subject to feasibility and written approval by Kraft Shilp.

      14.2 Approved changes may result in additional charges and/or extension
      of the delivery timeline.

      14.3 Kraft Shilp shall not be required to make a change where production
      has progressed to a stage at which the change is commercially or
      technically impractical.

      15. RETURN & EXCHANGE POLICY

      15.1 Furniture Products are generally supplied on a non-return /
      non-exchange basis
      , particularly Made-to-Order and Customised
      Products, except where a return, replacement or refund is required under
      applicable law or expressly approved by Kraft Shilp.

      15.2 A return/replacement request may be considered where the Product:

      • is materially different from the confirmed order;

      • is delivered materially damaged due to an attributable
        delivery/manufacturing issue; or

      • has a verified manufacturing defect covered by the applicable
        warranty/service policy.

      15.3 Kraft Shilp may inspect the Product before approving a return,
      replacement or warranty remedy.

      15.4 Return/exchange shall not ordinarily be available merely because
      the Customer:

      • changed their mind;

      • selected an unsuitable colour;

      • changed their preference;

      • incorrectly measured the premises;

      • failed to check access dimensions; or

      • no longer requires the Product.

      15.5 Nothing in this clause shall restrict any mandatory statutory right
      available to the Customer.

      16. WARRANTY

      16.1 Where a Product is accompanied by a specific written warranty, that
      warranty shall apply according to its stated terms.

      16.2 Warranty generally covers verified manufacturing defects within the
      applicable warranty period.

      16.3 Unless specifically covered by the applicable warranty, warranty
      shall not ordinarily cover:

      • normal wear and tear;

      • scratches;

      • dents;

      • stains;

      • accidental damage;

      • misuse;

      • negligence;

      • water/moisture damage;

      • pest/termite/insect damage not attributable to manufacturing;

      • unauthorised modification;

      • third-party installation;

      • relocation;

      • dismantling/reassembly;

      • abnormal heat;

      • excessive sunlight;

      • improper cleaning;

      • improper maintenance; or

      • use contrary to care instructions.

      16.4 Warranty claims may require:

      • invoice/order number;

      • photographs/videos;

      • description of the problem; and

      • physical inspection.

      16.5 After verification of a valid warranty claim, Kraft Shilp may, as
      appropriate and subject to applicable law:

      repair the Product, rectify the defect, replace the affected
      component, or provide another legally applicable remedy.

      16.6 Warranty does not automatically mean replacement of the entire
      Product.

      17. RELOCATION / DISMANTLING / REASSEMBLY

      17.1 Furniture should preferably be relocated, dismantled or reassembled
      by Kraft Shilp or an authorised service provider where such service is
      available.

      17.2 Damage occurring during Customer-arranged relocation,
      transportation, dismantling or reassembly shall not ordinarily be
      treated as a manufacturing defect.

      17.3 Warranty/service coverage may be affected where damage results from
      unauthorised relocation, modification, dismantling or reassembly,
      subject to applicable law.

      18. INSTALLATION

      18.1 Where installation is included in the order, installation shall be
      carried out according to the applicable Product requirements.

      18.2 Self-installation or installation by an unauthorised third party
      may exclude resulting damage from warranty/service coverage, subject to
      applicable law.

      18.3 Any damage caused by third-party installation shall be the
      Customer's responsibility.

      21.1 Products are subject to availability of raw materials, hardware,
      fabrics, finishes and other components.

      21.2 If a specified component becomes unavailable, Kraft Shilp may
      propose a reasonably comparable alternative.

      21.3 Where Customer approval is reasonably required for a material
      change, Kraft Shilp shall seek such approval.

      22. COMPLAINTS & SERVICE REQUESTS

      • other reasonable information required to evaluate the complaint.

      22.3 Kraft Shilp may inspect the Product before determining the
      appropriate remedy.

      22.4 A complaint shall not automatically entitle the Customer to cancel
      an unrelated order or withhold undisputed outstanding payment.

      23. LIMITATION OF LIABILITY

      23.1 Kraft Shilp shall provide remedies applicable to verified
      manufacturing defects, material non-conformity or other deficiencies
